Valuations Reliable and competent valuations

In corporate transactions, the central question is the fair value, or what price can be obtained. Our goal is to provide valuation services that give you the clarity you need to take entrepreneurial decisions. We’ll assist you through all the phases of the transaction process with decision-orientated indicative business valuations. Our valuation services include generating fairness opinions, business and financial modelling, the valuation of carve-outs as well as business valuation and strategic decision analyses.

As your advisors or independent valuers we contribute to the success of your company restructuring by reliably establishing the values of the businesses involved. We’ll undertake work for you in founding companies, non-cash capital increases, concluding inter-company agreements, transformations, squeeze-outs and other corporate and M&A matters. We determine the values of businesses, exchange ratios, cash settlements and compensation payments for shareholders.

As part of a fairness opinion, we assess whether a purchase price or the result of an entrepreneurial decision-making process is financially appropriate. We are also involved with opinions issued by the management and supervisory boards of target companies regarding acquisition and takeover offers under section 27 of the German Securities Acquisition and Takeover Act (WpÜG).

The increasing importance of fair values in accounting demands in-depth understanding of valuation in financial accounting. We offer solutions for purchase price allocation, the valuation of intangible fixed assets and impairment tests.

As your advisors or independent valuers, we’ll compile valuations for succession planning within the family, business succession and for changes in the shareholders.

We’ll assist you in structuring and valuing share plans for staff and management.

Business valuations for tax purposes, such as when shares in a business are inherited or donated, often don’t follow the general valuation standards. They are regulated under tax law on a case-by-case basis. As your advisors or independent valuers, we will assist you in determining business values, while taking the relevant tax rules and court decisions into account, as well as in analysing and optimising the tax consequences.

Transactions in the public sector can come about for many reasons. These can include political programmes, nationalisation or privatisation plans, budgetary consolidation and portfolio adjustments, but also regulatory stipulations. The need for valuations and consultation for businesses in the public sector or those subject to regulation is thus due to various, partly sector-specific, grounds. Stakeholders such as shareholders, lenders and investors are increasingly requiring an objective and independent assessment of business performance and of the financial situation of publicly-run entities as a basis for their decision-making.
