Grant Thornton advises Adiuva Capital on the acquisition of Miecom

Funds advised by the Hamburg-based private equity firm Adiuva Capital, together with Acquarium Holding and other co-investors, have acquired a majority stake in miecom-Netzservice GmbH via an investment vehicle. Miecom is one of the leading fibre-optic specialists in Bavarian Swabia.

Adiuva Capital GmbH is an owner-managed private equity firm based in Hamburg. Since its foundation in 2011, it has been providing capital to small and medium-sized enterprises in German-speaking countries. To achieve sustainable growth, Adiuva works closely with its portfolio companies. Its realised or ongoing investments in the fibre-optic sector include Soco, bnt, goetel, Stiegeler and the Lausitzer Mediengruppe. The company has 15 employees and exclusively manages equity capital (over 800 million euros).

Acquarium is an owner-managed investment holding company based in Königswinter (North Rhine-Westphalia). Since its foundation in 2006, it has been supporting small and medium-sized technology-driven companies with capital and an active value-enhancement approach. Realised or ongoing investments in the fibre-optic sector include Kabel Deutschland, Versatel, goetel and the Lausitzer Mediengruppe.

Following the successful investment in a fibre-optic infrastructure company at the end of 2024, the investors once again opted to utilise the telecommunications expertise and team led by partners Dr Mathias Reif and Boris Kröpsky from Grant Thornton Germany’s Legal service line. The all-round advice provided to the buyer throughout the entire transaction process ranged from legal due diligence to the drafting of the share purchase agreement, a shareholders’ agreement and capital increase documentation, all the way to the successful closing of the transaction.

Miecom, headquartered in Binswangen (Bavaria), specialises in the expansion of fibre-optic infrastructure in the Bavarian Swabia region. The entrepreneurs Stefanie and Tobias Miessl laid the foundations for today’s success story back in 1999 and, since the laying of the first fibre-optic cable in 2009, have been dedicated to providing the region with comprehensive coverage via an ultra-fast fibre-optic network.
