Grant Thornton advises BlueBinaries on the acquisition of MicroNova’s automotive testing business
Munich, 13 October 2026
BlueBinaries has signed a binding agreement to acquire the automotive testing business of MicroNova AG. The business unit will be operated as an independent company under the name NovaBinaries GmbH within the BlueBinaries Group. Approximately 167 employees at locations in Germany and the Czech Republic will transfer to the new company. With this acquisition, BlueBinaries is driving its international growth in the automotive sector, with Germany serving as its development hub. The transaction is expected to close within 90 days of signing.
An interdisciplinary team from Grant Thornton in Germany, led by partners Klaus-Martin Haußmann (Deal Advisory), Dr. Achim Kestler (Transaction Tax), and Marco Wagner (Legal), provided comprehensive support to BlueBinaries throughout the transaction. The advisory services included, in particular, financial due diligence, tax due diligence, and legal due diligence, as well as tax and legal support for the transaction structure and contract negotiations. The acquisition was handled in close collaboration with transaction teams from Grant Thornton Czech Republic.
The newly founded NovaBinaries GmbH will consolidate the acquired automotive testing business going forward. This includes MicroNova’s hardware-in-the-loop systems, the EXAM test automation platform, as well as test consulting and services. The existing HiL platform will continue under the name NovaCarts.
BlueBinaries is an internationally active engineering service provider for the automotive industry headquartered in India. With this acquisition, the company is expanding its offerings in the area of software testing and validation to include HiL systems, test automation, and validation services for software-defined vehicles.
MicroNova AG, based in Vierkirchen (Bavaria), is a technology company active in the fields of automotive testing, IT and digitalization, as well as mobile and communication networks. Following the sale, MicroNova intends to focus more strongly on its remaining business segments.
