As a Senior Manager in the Advisory service line, Dennis Keßel leads corporate finance and transaction projects for national and international clients. He has more than 15 years of experience in advising buyers and sellers in the preparation and implementation of corporate transactions for predominantly medium-sized corporate groups in Germany and abroad with a focus on technology companies.
Fields of expertise
- Due diligence projects (financial due diligence, vendor due diligence or financial fact books)
- Preparation and review of carve-out financials and (pro-forma) consolidated financial statements in accordance with German-GAAP, IFRS and US-GAAP
- Support in purchase contract negotiations (including SPA advice on purchase price-related topics)
- Business valuations, purchase price allocations and impairment tests / impairment certificates
