Background on the deal
Precision Motors Deutsche Minebea GmbH (PM DM) is the largest motor development centre in the international MinebeaMitsumi network. PM DM develops electronically commutated BLDC motors, innovative drive systems as well as energy harvesting systems. The Japanese parent company MinebeaMitsumi pursues its growth objectives also by acquisitions through subsidiaries, which was achieved by the acquisition of Mast Kunststoffe GmbH & Co. KG (Mast). Mast specializes in drive components and precision parts made from plastics. The company produces gearing technology, gear box components and drive elements from plastics in Baden-Wuerttemberg, Germany. Mast was founded in 1960 and generates revenues of EUR 23 million with c. 130 employees.
The Corporate Finance Team of Warth & Klein Grant Thornton – Dr. Kai Bartels, Hendrik Wehrmann and Konstantin Brehm – accompanied the acquisition of Mast together with K&L Gates through a Red-Flag – Financial Due Diligence in the fist step. In the second step, Warth & Klein Grant Thornton was able to provide substantial information about the economic situation of the company, about the equity value and during the final contract negotiations.
